Welcome to InnSync. These Terms of Service ("Terms") govern your access to and use of the InnSync data synchronization platform, website, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

Service Description

InnSync is a data synchronization platform optimized for unstable, low-bandwidth, or offline environments. Our Services include but are not limited to file synchronization, database replication, and related functionalities provided through our APIs, software components, and web interfaces.

To use certain features of our Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Pricing and Payment

Use of certain features of our Services may require payment. Pricing information is available on our website or through direct communication. You agree to pay all fees associated with your use of the Services as set forth in the applicable pricing plan.

We may change our prices at any time. We will provide notice of any price change at least 30 days in advance. Continued use of the Services after a price change takes effect constitutes your acceptance of the new prices.

Limitation of Liability

Our total liability to you for all claims arising from or relating to these Terms or your use of the Services, regardless of the form of action, will not exceed the amount paid by you to us for the Services during the 12 months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless InnSync, its affiliates, directors, employees, agents, and licensors from and against all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any privacy or intellectual property right
• Any claim that your data caused damage to a third party

Term and Termination

These Terms will remain in effect until terminated by either you or us. You may terminate these Terms at any time by discontinuing your use of the Services and closing your account.

We may terminate or suspend your access to all or part of the Services, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of the Services, our business, or third parties, or for any other reason.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of Vietnam, without giving effect to any principles of conflicts of law.
